The Companies Act, 2015 provides for several types of entities, including private companies limited by shares, public companies, and companies limited by guarantee. The registration process
Company registration in Kenya is carried out through the Business Registration Service on the eCitizen platform. In broad terms, the steps are:
- Name search and reservation — confirm your preferred company name is available and reserve it.
- Prepare the incorporation documents — including the statement of nominal capital and details of directors, shareholders and the registered office.
- Submit the application — upload the required documents and pay the prescribed fees.
- Receive the Certificate of Incorporation — together with a unique company number.
After incorporation
Registration is only the beginning. Newly incorporated companies must also obtain a KRA PIN, register for the relevant taxes, and where applicable comply with NSSF and SHIF obligations for employees. Depending on your sector, you may require additional licences or permits before commencing operations.
Beneficial ownership
